contribute to the Merck U.S. Savings Plan or the MSD Employee Stock Purchase and Savings Plan (the "Plans")
in order to meet your savings goals. Take a moment to review the

NEW Note, the MSD Employee Stock Purchase and Savings Plan is commonly referred to as the Legacy Merck Hourly Savings Plan.
This is used to determine eligibility for Catch-Up Contributions.
If you participated in the Schering-Plough Employees’ Savings Plan as of December 31, 2012, you are considered a
Legacy Schering-Plough Employee. Subject to ongoing eligibility requirements, Legacy Schering-Plough Employees
may receive transitional benefits from January 1, 2013 until December 31, 2019, whereby the Company will automatically
contribute an additional 0.5% of eligible compensation each pay period. Note, Legacy OBS Employees are not considered
Legacy Schering-Plough Employees for this purpose.
Base Pay for purposes of 401(k) contribution elections is defined as follows:
For participants in the Merck U.S. Savings Plan, Base Pay includes a participant’s actual base pay, sales commissions (applicable only for certain sales employees in Merck Consumer Care), overtime, and shift differential.
For participants in the MSD Employee Stock Purchase and Savings Plan, Base Pay includes actual base pay and COLA.
For participants in the Merck U.S. Savings Plan, Base Pay includes a participant’s actual base pay, sales commissions (applicable only for certain sales employees in Merck Consumer Care), overtime, and shift differential.
For participants in the MSD Employee Stock Purchase and Savings Plan, Base Pay includes actual base pay and COLA.
Paid “AIP/SIP” award refers to all cash incentive awards paid and not deferred under the Annual Incentive
Plan (AIP), the Executive Incentive Plan (EIP), and the Sales Incentive Plan (SIP). It does not include
any deferrals into the Merck Deferral Program.

Your eligible variable pay is currently defined only as the annual bonus payment typically paid in December. You may elect to have your Before-Tax Contributions automatically switched to After-Tax Contributions once you reach the Limit on Before-Tax and Roth Contributions during the year. This is called a “Spillover election.” This allows you to continue to receive a Company Matching Contribution (even if you have not made an After-Tax Contribution election) by ensuring you continue to contribute to the Plan each pay period.
